This is the most common method, where partners inject new funds into the company. These funds must be deposited into a blocked bank account. Legal Framework and Required Majorities for an SARL in Morocco

The SARL is the most commonly used legal form in Morocco. Since its amendment, the law no longer requires a minimum capital, allowing partners to determine the capital that suits them, theoretically even 1 dirham. Regardless of its amount, the capital must be divided into equal shares.

Any capital increase, as it involves a modification of the company's articles of association, must be decided by an Extraordinary General Meeting (EGM) of partners. The majority conditions for this decision are crucial:

  • For general capital increases (e.g., cash, in-kind contributions), the decision requires the majority of three-quarters of the partners representing the company's capital (Article 75 of the SARL law).
  • However, if the capital increase is by incorporating profits or reserves, a simple majority of half of the partnership interests is sufficient (Article 75 of law no. 5-96).
  • In the case of a single-partner SARL, the sole partner's decision is sufficient.

Essential Formalities for Capital Increase

The process of increasing the capital of your SARL involves several mandatory steps:

  1. Justification of Capital Release:
    • For cash contributions: Deposit funds into a blocked bank account and obtain a blocking certificate.
    • For debt compensation: Have the current accounts certified by a chartered accountant.
    • For in-kind contributions: Obtain an evaluation report from a contributions commissioner.
  2. Holding an Extraordinary General Meeting (EGM): The partners convene to vote on the capital increase, specifying its terms and conditions.
  3. Signing, Legalizing, and Registering the EGM Minutes: The minutes must be formalized and registered with the tax authorities.
  4. Filing the EGM Minutes at the Commercial Court Registry: This step makes the capital increase official.
  5. Completing the Modificative Declaration of the Trade Register: Update the company's information in the trade register.
  6. Publication in a Legal Announcement Journal: Inform third parties of the change.
  7. Publication in the Official Bulletin (B.O.): Ensure broader public notice.
